JENI Systems — Terms of Use & End-User License Agreement (EULA)

These Terms govern your use of jenisystems.com, our software, and related services. By purchasing, downloading, installing, or using our software, you accept these Terms in full. If you do not agree, do not use the site or software.

1. Who We Are
JENI Systems (“we,” “our,” “us”) develops and licenses computer optimization software for Windows and macOS. Our site is hosted on WordPress via SiteGround, using WooCommerce, Jetpack CRM, Stripe, and Google Analytics 4 (GA4) with advertising features disabled.

2. Your Account and Orders
You must provide accurate information at checkout and keep your email address current for license and support purposes. Orders are processed by WooCommerce, and payments are handled securely by Stripe. We may reject, limit, or cancel an order to prevent fraud, misuse, or unlawful transactions.

3. License Grant
We license the software to you; we do not sell ownership rights. A single $34.99 license activates the software for one computer for the life of that device. You may install future updates on that same device without additional fees.

4. Activation and Device Binding
Activation binds your license to hardware using a local token and a device identifier (e.g., motherboard ID or hardware UUID). An internet connection is required for initial activation. The software may occasionally revalidate the license; if offline, it will continue to function and retry validation later.

5. Transfers and Hardware Changes
Licenses are non-transferable between devices. If you replace major hardware components or reinstall your operating system, reactivation may be required. We will make reasonable efforts to assist if a legitimate repair breaks activation, but we are not obligated to transfer licenses to new or different machines.

6. Restrictions
You may not:
Share or resell license keys.
Circumvent activation or security features.
Rent, sublicense, reverse engineer, decompile, or modify the software except where non-waivable rights apply under applicable law.
You may keep one backup copy for disaster recovery purposes.

7. Updates and Support
We may release updates to improve performance, stability, or compatibility. Your program will check for a newer version automatically once you open it. JENI® does run offline but this update check will be skipped if you are offline. Support is offered on a reasonable-efforts basis via our Support page or email. We do not guarantee resolution of all issues or any specific response time.

8. Refund Policy
JENI® for Windows and JENI® for Mac are delivered as digital downloads with a lifetime license. Because access begins immediately, refunds are limited. We honor refunds where required by law and in specific cases such as duplicate purchase, accidental multiple charges, confirmed incompatibility after support attempts, or activation failures we cannot resolve. Performance results vary by system and are not grounds for a refund.
Review the product description and system requirements before you buy. Windows requires .NET 4.7.2 and supports Windows 7 SP1, 8.1, 10, and 11; it is not compatible with XP, Vista, or the original Windows 8. macOS requires Monterey (12.0) or newer; it is not compatible with Catalina, Mojave, or older versions. Contact support if you are unsure about compatibility.
By completing your order you agree to this Refund Policy. In regions with digital withdrawal rights, including the EU and UK, you consent to immediate digital delivery and acknowledge that the right to withdraw ends once the license key is issued, except where law requires otherwise.

9. Payments and Taxes
Stripe processes your payment information. We do not store full credit or debit card details. Prices are listed before any applicable taxes, duties, or fees. You are responsible for paying all taxes in your jurisdiction.

10. Privacy and Cookies
Our Privacy Policy explains what we collect, how we use it, and your rights. This includes WooCommerce order details, Jetpack CRM records, and GA4 traffic analytics with ads features off. By using our site or software, you acknowledge and agree to the Privacy Policy.

11. Third-Party Services
Our site and software may interact with third-party services (e.g., SiteGround, Automattic, Google, Stripe). We are not responsible for their policies, uptime, or availability.

12. High-Risk Use Prohibited
Do not use the software in life support, safety-critical, nuclear, aviation, or other high-risk systems. Always back up your data and confirm compatibility before running JENI®.

13. Disclaimer of Warranties
The software and related services are provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim merchantability, fitness for a particular purpose, title, non-infringement, error-free operation, and any guarantee of compatibility or results.

14. Limitation of Liability
To the maximum extent allowed by law, we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages. This includes lost data, lost profits, system instability, or device damage. If liability cannot be excluded, it is limited to the amount paid for your license.

15. Indemnity
You agree to indemnify and hold JENI Systems harmless from claims, losses, or expenses arising from your misuse of the software, violation of these Terms, or infringement caused by your content or modifications.

16. Export and Sanctions Compliance
You will not use, export, or re-export the software in violation of applicable U.S. or international export control laws. You represent that you are not on any government-restricted list.

17. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any disputes will be resolved exclusively in the state or federal courts located in Orange County, California. You consent to personal jurisdiction in those courts.

18. Changes to Terms
We may update these Terms to reflect changes in our products, policies, or applicable laws. The “Effective Date” will change when updates are posted. Continued use after changes means you accept the new Terms.

20. Entire Agreement
These Terms, along with our Privacy Policy and your purchase details, form the entire agreement between you and JENI Systems. If any provision is held invalid, the remaining provisions remain in effect.
